AXONN GENERAL TERMS OF SALE

Delivery: FOB Axonn, New Orleans, LA, or Axonn manufacturing Mexico-US entry point.

Delivery Lead-Time: Twelve (12) weeks ARO for volume quantities. Some products may have shorter lead-times.

Warranty: Net 30 days FOB date. Shipping & Insurance to be invoiced upon product delivery, and is not included in product prices.

Production Test: 12 months from ship date to the customer.

Development Kit Returns: A 33% retest & restocking fee applies to development kits returned for refund during a 30 day evaluation period. Cancellation: Partial cancellation may result in pricing adjustment to lower quantity price point. Cancellation is not permitted within 90days of PO scheduled delivery date at which time product is handled as NCNR. Appropriate charges may apply where cancellation is agreed by Axonn.

Rescheduling: Any delivery date reschedules requested by customer must be submitted in writing at least 90 days prior to PO line item scheduled delivery date. Only one reschedule, not to exceed 90 days, is permitted per purchase order line item.

Obligations of Axonn: Axonn will at their own sole cost and expense maintain the necessary regulatory certification for radio operation of Product compliant to use of product in the United States of America and Canada. Additionally, Axonn warrants the product carries the CE mark for European distribution per professional interpretation of the Directives set forth by the R&TTE. Purchaser assumes the responsibility and cost for securing regulatory approvals associated with introduction of Product in any other international region of use. Axonn will make good faith effort to assist Purchaser in this effort but may elect to not participate in the cost. Additionally, though Axonn in good faith represents the product is marketable in Europe per professional interpretation of Directives, it may be necessary to secure local regulatory approval of product in specific EU states, such approval being unknown at the time of this agreement to Axonn. Any costs associated with securing any required approval for use in Europe will be paid by Purchaser.
